ScopeProfessional clients only

IsoFind is software designed exclusively for professional use (laboratories, institutions, independent experts). These terms govern the contractual relationship between the Publisher (IsoFind, micro-enterprise) and any Professional Client wishing to acquire a license.

Art. 1
Purpose

The purpose of these Terms and Conditions is to define the contractual conditions applicable to any acquisition of an IsoFind software license from the Publisher by a Professional Client. The acquisition of a license implies unreserved acceptance of these Terms.

Art. 2
Software Nature

IsoFind is isotopic data processing software provided in On-Premise mode (local installation on the Client's machine). The software operates entirely offline to guarantee the sovereignty and confidentiality of the scientific data processed.

A free "Research" version is made available to allow the Client to validate the technical and functional compatibility of the software before any purchase of a paid license.

Art. 3
End-User License

3.1 License Grant

The Publisher grants the Client a non-exclusive, personal, and non-transferable right to use the software. This license in no way constitutes a transfer of intellectual property rights over the software or its components.

3.2 Restrictions

The Client is strictly prohibited from:

  • any form of reverse engineering, decompilation, or attempt to extract the source code;
  • any redistribution, resale, or sub-licensing of the software or the activation key;
  • any modification or adaptation of the software without prior written authorization from the Publisher.

Any violation of these restrictions will result in the immediate termination of the license, without refund, and may lead to legal proceedings.

Art. 4
Delivery and activation

The licence is delivered as an activation file sent electronically to the address given by the Customer, within five working days of payment being received. No physical delivery is provided.

Activation takes place on the Customer's machine, with no connection to a server operated by the Publisher. The software contains no online verification and no remote deactivation mechanism: an interruption of the Publisher's service has no effect on an already activated licence.

The Customer is responsible for keeping their licence file. It can be reissued on request, after verification of the holder's identity.

Art. 5
Price & Payment

Prices are expressed in Euros, VAT not applicable in accordance with Article 293 B of the French General Tax Code (VAT exemption).

Payment is due in full at the time of order via bank transfer. Access to the activation key is subject to the effective and full payment of the price.

Art. 6
Term, renewal and termination

Licences are taken out for a period of one year from activation. They are not automatically renewed: renewal results from an express order by the Customer.

On expiry, the software reverts to its free mode. The Customer's data, projects and ISOF files are fully preserved and remain accessible; only the features reserved for paid editions become unavailable.

In the event of a serious breach by either party, the other party may terminate the contract after a formal notice has remained without effect for thirty days.

Art. 7
No Right of Withdrawal

Important Information: The right of withdrawal provided for in articles L221-18 et seq. of the French Consumer Code is reserved for non-professional consumers. It does not apply to contracts concluded between professionals.

Furthermore, as this concerns digital content provided on a non-material medium whose execution begins after the Client's express prior agreement, no refund will be accepted once the license key has been generated or the software downloaded.

Please note that the free Research version allows the Client to test the software before any financial commitment.

Art. 8
Support and updates

The licence gives access to fixes and minor updates released during its period of validity. Major releases may be the subject of a separate offer.

Support is provided electronically, in French and English, on working days. It covers installation, activation and documented use of the software. It does not include scientific interpretation of results, nor the development of specific extensions, which are separate services.

Art. 9
Warranties & Liability

6.1 Provided "As Is"

The software is provided "as is". While the Publisher takes the greatest care in the precision of its algorithms and methods, it cannot be held responsible for errors in scientific interpretation or decisions made based on the results produced by the software.

6.2 Limitation of Liability

The Publisher shall in no event be liable for indirect damages (loss of data, loss of business, business interruption, commercial prejudice). In any event, the Publisher's liability is limited to the amount actually paid by the Client for the license concerned.

Art. 10
Intellectual Property

All elements composing the IsoFind software and the isofind.tech website (source code, algorithms, databases, design, logos, documentation) are and remain the exclusive intellectual property of the Publisher, protected by French laws and international copyright conventions.

Any reproduction, representation, or use, even partial, without the prior written authorization of the Publisher is strictly prohibited.

Art. 11
Reversibility and data longevity

Data produced by the software remains the exclusive property of the Customer. It is stored locally in documented, exportable formats: SQLite database, the open ISOF format published under the MIT licence, and standard tabular exports.

The Publisher guarantees that no proprietary lock-in format is used and that no dependency on online infrastructure is required to read the data produced. The Publisher ceasing activity has no effect on the readability of files already produced.

Art. 12
Data Protection

IsoFind is designed to function offline. The Publisher does not collect any scientific data processed by the software on the Clients' machines.

Only data strictly necessary for invoicing and license activation (name, professional contact details, license key) are kept by the Publisher, in accordance with legal obligations and the General Data Protection Regulation (GDPR).

Art. 13
Subcontracting and confidentiality

The Publisher may use service providers for website hosting and payment processing. None of these providers has access to the Customer's scientific data, which never leaves the Customer's own systems.

Each party undertakes to preserve the confidentiality of non-public information disclosed in connection with the contract, for its duration and the three years following its end.

Art. 14
Applicable Law & Disputes

These Terms and Conditions are subject to French law. In the event of a dispute relating to their interpretation or execution, the parties agree to seek an amicable solution within thirty (30) days following the notification of the dispute.

Failing an amicable resolution, exclusive jurisdiction is attributed to the courts within the jurisdiction of the Publisher's registered office (Foix, Ariège, France).
